1. Definitions

  • "Agreement" refers to these Terms and Conditions together with any service-specific agreements
  • "Client" means the individual or organisation engaging Wivex services
  • "Services" encompasses all computer vision safety monitoring solutions provided by Wivex
  • "We," "Us," "Our" refers to Wivex
  • "Website" means the Wivex website accessible at wivexsgoni.biz

2. Acceptance of Terms

By accessing our website, submitting inquiries, or engaging our services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you must not use our website or services.

You represent that you are at least eighteen years of age and possess the legal authority to enter into this Agreement. If accepting on behalf of an organisation, you warrant that you have authority to bind that organisation to these terms.

Specific service engagements will be governed by separate service agreements incorporating these general Terms and Conditions.

3. Services Description

Wivex provides computer vision technology solutions for workplace safety monitoring including:

  • Facility safety assessments and feasibility studies
  • Custom detection module development and deployment
  • Comprehensive safety monitoring platform implementation

Service specifications, deliverables, timelines, and pricing are detailed in individual service agreements. We reserve the right to modify service offerings, features, and capabilities with reasonable notice to active clients.

Services are provided subject to availability and resource constraints. We aim to meet estimated timelines but cannot guarantee specific completion dates unless explicitly stated in a service agreement.

4. Client Responsibilities

Facility Access and Cooperation

Clients engaging our services agree to:

  • Provide reasonable access to facilities for assessments and installations
  • Supply accurate information about operational requirements and safety protocols
  • Designate personnel for coordination and training activities
  • Maintain suitable network infrastructure for system operation
  • Ensure safe working conditions for Wivex personnel during site visits

Acceptable Use

Clients must:

  • Use deployed systems solely for workplace safety monitoring purposes
  • Comply with applicable data protection and privacy regulations
  • Not attempt to reverse engineer, modify, or tamper with monitoring systems
  • Promptly report technical issues or system malfunctions

5. Intellectual Property

Wivex Property

All detection algorithms, software, system architecture, documentation, and related intellectual property developed by Wivex remain our exclusive property. Clients receive a limited, non-exclusive license to use deployed systems for their internal safety monitoring purposes.

Client Data

Clients retain ownership of facility-specific data and visual imagery collected during service delivery. Wivex may use anonymised, aggregated data for system improvement and research purposes with appropriate confidentiality protections.

Restrictions

Clients may not copy, distribute, license, sell, or create derivative works from Wivex proprietary systems without explicit written authorisation.

6. Payment Terms

Pricing for services is specified in individual service agreements. Unless otherwise stated:

  • All prices are in Singapore Dollars (SGD) and exclude applicable taxes
  • Assessment fees are payable upon contract signing
  • Implementation services follow milestone-based payment schedules
  • Payment is due within thirty days of invoice date
  • Late payments may incur interest charges at prevailing Singapore rates

We reserve the right to suspend services for accounts with overdue payments until obligations are satisfied.

7. Disclaimers

Service Performance

While we strive for high detection accuracy and system reliability, computer vision monitoring is provided on an "as is" basis. We do not guarantee:

  • Detection of all safety incidents or hazardous conditions
  • Complete prevention of workplace accidents or injuries
  • Uninterrupted or error-free system operation

Safety Responsibility

Wivex monitoring systems are tools to support workplace safety programmes, not replacements for comprehensive safety management. Clients remain fully responsible for:

  • Maintaining overall workplace safety protocols and procedures
  • Appropriate response to system alerts and detected incidents
  • Compliance with applicable health and safety regulations

8. Limitation of Liability

To the maximum extent permitted by Singapore law:

  • Wivex total liability for any claims arising from services shall not exceed the fees paid by the client in the twelve months preceding the claim
  • We are not liable for indirect, consequential, incidental, special, or punitive damages
  • Liability for property damage or personal injury caused by our negligence is not limited

Clients acknowledge that computer vision monitoring is an assistive technology and should not be relied upon as the sole safety measure.

9. Confidentiality

Both parties agree to maintain confidentiality of sensitive information disclosed during service delivery. This obligation survives termination of the service relationship.

Confidential information includes technical specifications, facility layouts, operational procedures, and proprietary detection algorithms. Exceptions apply for information that is publicly available or legally required to be disclosed.

Visual data collected during monitoring is subject to applicable privacy regulations and will be handled according to our Privacy Policy.

10. Term and Termination

Service Duration

Individual service agreements specify engagement duration and renewal terms. Ongoing support periods are defined in service contracts.

Termination Rights

Either party may terminate the service relationship:

  • For convenience with ninety days written notice after initial service period
  • Immediately for material breach that remains uncured after thirty days notice
  • Immediately for insolvency or bankruptcy proceedings

Effect of Termination

Upon termination, clients must cease using Wivex systems and return or destroy proprietary materials. Outstanding payment obligations survive termination. Confidentiality and intellectual property provisions remain in effect.

11. Dispute Resolution

Governing Law

These Terms and Conditions are governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of Singapore courts.

Informal Resolution

Parties agree to attempt good faith resolution of disputes through direct negotiation before pursuing formal proceedings. Initial dispute notice should be sent to the contact addresses specified below.

Mediation

If negotiation does not resolve the dispute within thirty days, parties may agree to mediation through the Singapore Mediation Centre before initiating litigation.

12. General Provisions

  • Entire Agreement: These Terms and Conditions, together with service-specific agreements, constitute the complete understanding between parties
  • Severability: If any provision is found invalid or unenforceable, remaining provisions continue in full effect
  • Waiver: Failure to enforce any right does not constitute waiver of that right
  • Assignment: Clients may not assign service agreements without our written consent
  • Notice: Formal notices must be in writing to addresses specified in service agreements
  • Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control

13. Changes to Terms

We reserve the right to modify these Terms and Conditions. Changes become effective upon posting to our website with updated revision date. Continued use of services after changes constitutes acceptance of modified terms.

Material changes affecting active service agreements will be communicated directly to clients with reasonable notice period.
